Terms of Service
PRACTICAL SOFTWARE
Effective Date: September 20, 2026
These Terms of Service ("Terms") govern access to and use of Practical Software products and services, including Clockwork, CareForms AI, CareForms Hub, associated websites, software, templates, documentation, and related services (collectively, the "Services").
"Practical Software," "we," "us," and "our" refer to the provider of the Services. "Customer," "you," and "your" refer to the person or organization purchasing, accessing, or using the Services.
By purchasing, subscribing to, accessing, or using a Service, you agree to these Terms. If you use a Service on behalf of an organization, you represent that you have authority to bind that organization.
1. Our Services
Practical Software provides business software and digital resources, including:
- Clockwork workforce scheduling, timekeeping, attendance, payroll-preparation, hiring, and HR-management tools
- CareForms AI document-assistance tools
- CareForms Hub editable business-document templates
- Related product documentation, updates, and support
Specific features, usage limits, team-member limits, and pricing depend on the product and plan purchased.
We may improve, modify, replace, or discontinue features as the Services evolve. We will make reasonable efforts to provide notice when a material change significantly affects a paid subscription.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.
The Services are intended for lawful business and professional use. They are not directed to children.
3. Accounts and Authorized Users
You are responsible for:
- Providing accurate account information
- Protecting usernames, passwords, and login credentials
- Limiting access to authorized users
- Managing employee and administrator permissions
- All activity conducted through your account
- Notifying us promptly of suspected unauthorized access
You may not share an individual login among multiple people unless your selected plan expressly allows shared access.
Team-member and user limits are determined by the purchased plan. Additional users may require an upgrade or customized plan.
4. Subscriptions and Billing
Clockwork and CareForms AI may be offered as recurring monthly or annual subscriptions.
When a subscription is purchased through Gumroad:
- Gumroad serves as the merchant of record
- Payment information is processed by Gumroad and its payment providers
- The subscription automatically renews at the selected interval until canceled
- Applicable taxes may be calculated and collected by Gumroad
- Billing, payment disputes, chargebacks, and qualifying refunds are administered through Gumroad
- Gumroad's terms and policies also apply to the purchase
Current prices, billing intervals, and plan limits are displayed at checkout.
You authorize Gumroad to charge the selected payment method at the beginning of each subscription period.
5. Cancellation
You may cancel a subscription through the cancellation method made available by Gumroad.
Cancellation stops future renewals. Unless required by law or otherwise approved by Gumroad, cancellation does not provide a prorated refund for the current subscription period.
You may continue using the applicable Service through the end of the paid subscription period, subject to these Terms.
Canceling a subscription does not automatically delete information stored within a product account. You should export any information you need before access ends.
6. Refunds
Purchases and subscriptions are subject to Gumroad's refund policies and applicable law.
Digital templates that have been delivered or downloaded may not be refundable except when required by law or approved through Gumroad.
If a product is materially defective or inaccessible, contact us so we can attempt to resolve the problem.
7. License to Use the Services
Subject to payment and compliance with these Terms, Practical Software grants you a limited, nonexclusive, nontransferable, revocable license to use the purchased Service for your internal business operations.
You may permit authorized employees and contractors to use subscription software within the limits of your plan.
You may customize CareForms Hub templates for the internal operations of your own organization.
Unless expressly authorized in writing, you may not:
- Resell, sublicense, redistribute, or publicly share the Services
- Sell or distribute individual templates or modified versions as standalone products
- Copy or create a competing product from our software, templates, or documentation
- Reverse engineer, decompile, or attempt to obtain source code
- Circumvent access controls, user limits, or security features
- Use the Services to violate another person's intellectual-property or privacy rights
- Remove copyright, trademark, or ownership notices
8. White-Label Features
Certain Clockwork plans may permit customers to add their logo and brand colors.
White-label access does not transfer ownership of Clockwork or its underlying software. Customers may not represent that they developed or own the underlying platform.
The words "white-label," "custom branding," or similar language refer only to the branding capabilities included in the purchased plan.
9. Customer Data
You retain ownership of information, documents, logos, schedules, employee records, applicant information, and other content submitted to the Services ("Customer Data").
You grant us a limited right to process Customer Data only as reasonably necessary to:
- Provide the Services
- Maintain and secure the platform
- Process customer requests
- Troubleshoot technical problems
- Comply with legal obligations
- Enforce these Terms
You are responsible for ensuring that you have the legal right and appropriate notices, permissions, and consents to collect and submit Customer Data.
10. Employee, Applicant, and GPS Information
Clockwork may allow customers to process:
- Employee contact and profile information
- Work schedules
- Clock-in and clock-out records
- GPS verification associated with attendance events
- Timesheets and wage calculations
- Digital signatures
- Time-off and shift-trade requests
- Applicant and hiring records
- HR documents and acknowledgments
The customer — not Practical Software — is responsible for determining whether and how these features may lawfully be used for its workforce.
Customers are responsible for:
- Giving employees and applicants legally required notices
- Obtaining any required consent
- Establishing lawful workplace monitoring policies
- Limiting GPS collection to legitimate business purposes
- Complying with wage-and-hour, employment, privacy, and record-retention laws
- Reviewing time and wage information before processing payroll
Clockwork is a workforce-management tool. It is not a payroll processor, employer of record, professional employer organization, legal adviser, or tax adviser.
11. AI-Assisted Features
CareForms AI may use artificial intelligence to assist with drafting, organizing, or revising documents.
AI-generated content may contain errors, omissions, outdated information, or inappropriate recommendations. You are responsible for reviewing, editing, and approving every output before relying on or using it.
AI output is not legal, medical, accounting, tax, employment, or compliance advice.
You may not use AI-generated output as the sole basis for decisions that produce legal, medical, employment, financial, or other significant effects on another person.
12. Sensitive Information and Health Information
Unless Practical Software has expressly agreed in writing to process regulated information under an appropriate agreement, you may not submit:
- Protected health information regulated by HIPAA
- Social Security numbers
- Complete payment-card information
- Financial-account credentials
- Passwords or authentication secrets
- Government identification documents
- Information prohibited by law or contract
A product's usefulness in a healthcare business does not, by itself, mean that the product is HIPAA compliant or that a Business Associate Agreement is in place.
13. Templates and Business Documents
CareForms Hub templates are provided as general business resources.
Customers are responsible for:
- Reviewing templates for suitability
- Customizing documents for their organization
- Confirming compliance with applicable laws, regulations, contracts, licensing requirements, and accreditation standards
- Obtaining professional review when necessary
- Maintaining appropriate document controls and approval processes
We do not guarantee that any template will satisfy every jurisdiction, payer, regulator, industry, or accrediting organization.
14. Acceptable Use
You may not use the Services to:
- Violate applicable law
- Commit fraud or deception
- Harass, discriminate against, or harm another person
- Upload malware or malicious code
- Interfere with platform security or availability
- Gain unauthorized access to accounts or systems
- Conduct unlawful employee surveillance
- Process information without a lawful basis
- Infringe intellectual-property rights
- Generate or distribute illegal or harmful content
- Misrepresent AI-generated material as professionally verified when it has not been reviewed
We may suspend or terminate access when we reasonably believe the Services are being misused.
15. Third-Party Services
The Services may rely on or connect with third-party providers, including Gumroad, hosting providers, authentication services, artificial-intelligence providers, email providers, and payroll-export destinations.
Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party services outside our reasonable control.
References to payroll providers such as ADP, Paychex, Gusto, or QuickBooks do not imply sponsorship, endorsement, or a formal integration unless expressly stated.
16. Service Availability
We aim to provide reliable Services, but uninterrupted or error-free access is not guaranteed.
Access may occasionally be limited by:
- Maintenance
- Security updates
- Internet or hosting failures
- Third-party outages
- Events outside our reasonable control
We may release updates, corrections, or feature changes without creating an obligation to support every previous version indefinitely.
17. Intellectual Property
Practical Software and its licensors retain all rights in:
- Software
- Source code
- Product designs
- Templates
- Documentation
- Branding
- Graphics
- Workflows
- Product names
- Other original materials
These Terms do not transfer ownership of any Practical Software intellectual property.
Feedback or suggestions may be used to improve the Services without compensation or obligation, provided we do not publicly identify you without permission.
18. Confidentiality
Each party agrees to use reasonable care to protect nonpublic business information received from the other party and to use it only for purposes related to the Services.
Confidentiality obligations do not apply to information that:
- Is publicly available without breach
- Was already lawfully known

- Is received lawfully from another source
- Must be disclosed by law

OUR TOTAL LIABILITY ARISING FROM THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE APPLICABLE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not permit certain limitations, so portions of this section may not apply to you.
21. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold Practical Software harmless from claims, damages, penalties, and expenses arising from:

Before filing a legal claim, each party agrees to make a good-faith effort to resolve the dispute informally.
24. Changes to These Terms
We may update these Terms to reflect changes in our Services, business practices, or legal obligations.
The updated version will be posted with a revised effective date. When legally required, we will provide additional notice.
